ROLE SUMMARY 

As Chair, your role will provide leadership to the charity and its Board, ensuring the charity has maximum impact for its beneficiaries.  You’ll achieve this by leading BFUK’s Trustee Board in ensuring the effective performance of its governance responsibilities, and work closely with the Founders and Executives to support them to achieve BFUK’s objectives.

 

The Chair will take responsibility for the Trustee Board’s performance and ensure there is an effective relationship between the Board, staff, volunteers and other stakeholders.

 

The Chair will also at times act as an ambassador for BFUK alongside the Chief Executive. 

RESPONSIBILITIES

Board Responsibilities

  • Ensure the Board operates within its charitable objectives and provides clear strategic direction for the charity.

  • Ensure that Trustees fulfil their duties and responsibilities and review the performance of both the Trustees and the Board collectively on an annual basis, alongside the Chief Executive.

  • Develop a Board which takes collective ownership of performance and ensure that each Trustee has a meaningful role reflecting their responsibilities, skills and experience.  

  • Run meetings of the Board of Trustees effectively and efficiently, ensuring that meetings are well planned with impartial and objective decision-making processes.

  • Ensure Trustees are fully engaged and decisions are taken in the best, long-term interests of the charity.

  • Nurture, maintain and ensure that constructive relationships exist between the Trustees.

  • Ensure that the Board of Trustees is regularly refreshed, incorporating a balance of skills, knowledge and experience to govern and lead the charity effectively.

Governance

  • Ensure governance guidelines set out by the Charity Commission are adhered to and are working in the most effective way for the charity.

  • Ensure that the Board is able to regularly review major risks and associated opportunities, guaranteeing systems are in place to take advantage of opportunities, manage and mitigate risks.

  • Ensure a robust conflict of interest policy and process to be aware of potential conflicts and resolve any conflicts within the Board at the earliest opportunity.

  • Ensure the Board fulfils its duties to ensure sound financial health of the charity, with systems in place to ensure financial accountability.

  • Work within any agreed policies adopted by the charity.

Relationship with Chief Exec and Managment 

  • Establish and build a strong, effective and constructive working relationship with the Chief Executive, ensuring he/she is held to account for achieving agreed strategic objectives.

  • Support the Chief Executive, whilst respecting boundaries which exist between governance and operations.

  • Work closely with the Chief Executive to give direction to Board policy making.

  • Monitor the progress of decisions made at meetings to ensure that they are implemented.

  • Ensure regular contact with the Chief Executive and develop and maintain open and supportive relationship. Each can speak openly about concerns, worries or challenges.

  • Work with the Chief Executive to develop a long-term strategy for the organisation with objectives which can be monitored.

  • Lead an annual performance and remuneration review for the Chief Executive.

  • Ensure the Chief Executive has the opportunity for professional development and has appropriate external professional support.

External Relations

  • Act as an ambassador for the cause and charity.

  • Act as a spokesperson for the organisation when appropriate.

  • Represent the charity at external functions, meetings and events.

  • Facilitate change and address any potential conflict with external stakeholders

PERSON SPECIFICATIONS

Knowledge and Experience

  • Knowledge of /evidence of commitment to the work and values of BFUK.

  • Experience of charity governance and an understanding of statutory responsibilities.

  • Trustee or non-executive director experience or other relevant experience chairing boards and committees.

  • Experience of developing strategy and of translating strategy to operations successfully, ideally in a small fast growth organisation.

  • Evidence of ability to provide robust leadership to the Board and to support and work appropriately with the CEO, Senior Management and staff. 

  • Experience and understanding of working with the resource constraints of a small business.

  • Experience of operating with diplomacy and tact when making difficult decisions and having challenging conversations with partners and stakeholders.  

  • It is desirable to have and understanding and knowledge of key safeguarding legislation, practice and guidance. 

Skills and Abilities

  • Excellent communication and interpersonal skills with the ability to enthuse people about a vision for the future.

  • Ability to represent the organisation appropriately and effectively at many levels, including making new contacts and developing relationships.

  • Analytical ability and good independent judgement.

  • Supportive and confident leadership style. - Capacity for clear, creative and strategic thinking and vision.

  • Be committed to diversity and inclusion throughout BFUK.

  • A willingness and ability to devote the necessary time and effort to attend Board and other meetings, including preparing and reading for those meetings, and to participate in the effective governance and management of BFUK.
